Welcome to Sider, operated by Vidline Inc., 335 Huntington Ave #35, Boston, MA 02115-4406, United States ("Company", "we", "us", or "our"). These Terms of Use ("Terms") govern your access to and use of our website sider.ai, browser extension, mobile application, desktop application, and related services (collectively, the "Services").
You accept these Terms by clicking "I agree" (or a similar button) when you create an account or make a purchase, or, if you use the Services without an account, by using them. If you do not agree, do not use the Services. If you use the Services on behalf of a company or other organization, you confirm that you are authorized to bind it, and "you" refers to that organization.
Our Privacy Policy (sider.ai/policies/privacy) explains how we handle personal information and forms part of these Terms. If you are a consumer in the European Economic Area, the United Kingdom or another jurisdiction with mandatory consumer-protection laws, nothing in these Terms limits rights you have under those laws.
Our Services provide AI-powered tools designed to help users increase productivity and efficiency. This includes generating content, summarizing media, and performing other AI-enhanced functions. Sider is available through multiple platforms including the web application at sider.ai, a browser extension compatible with major web browsers, mobile applications for iOS and Android, and desktop applications for Windows and macOS.
The Services use artificial-intelligence models provided by third parties (such as OpenAI, Anthropic, Google, xAI, DeepSeek and Moonshot AI). When you select a model, your request is processed by that provider under its own terms and privacy policy, as described in our Privacy Policy. You acknowledge that you are interacting with an AI system and that outputs are generated automatically.
The Services evolve continuously. We may add, update, replace, limit or retire models, features and usage limits at any time, including without prior notice, for reasons such as changes made by our model providers, the release of newer models, security, or technical and commercial requirements. Retiring an older model or feature is not a reduction of your paid plan where a comparable or newer alternative is available in the Services. Section 5.5 applies only if we discontinue the Services or your paid plan as a whole. Some features may be labeled "beta" or "experimental"; they may be modified or withdrawn at any time.
The Services are not designed to comply with industry-specific regulations (e.g., HIPAA, FISMA) and should not be used where such compliance is required. The Services are not intended for use in situations where failure could lead to death, personal injury, or severe physical or environmental damage, or for emergency services.
2.1 Eligibility. You must be at least 13 years old (or 16 if you are in the EEA or the UK, or the higher minimum age in your country) to use the Services. If you are under 18, you may use the Services only with the consent of a parent or guardian, and only a person aged 18 or over may purchase a subscription.
2.2 Registration. To use certain features, you may be required to register for an account using a third-party login (such as Google or Apple) or your phone number. You agree to provide accurate information and to keep it up to date. You may not create more than one personal account, share your account, or use another person's account without permission.
2.3 Account Security. You are responsible for maintaining the confidentiality of your login credentials and for activities under your account that you authorized or that result from your failure to protect your credentials. If you believe your account has been accessed without authorization, you can review and sign out logged-in devices at sider.ai/my.
3.1 Our Content. All software, code, design, trademarks, and other materials provided by us are owned or licensed by Vidline Inc. and are protected by intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Services for lawful purposes in accordance with these Terms. No other rights are granted.
3.2 Your Inputs. You retain all rights you hold in the prompts, files, images, audio and other content you submit to the Services ("Inputs"). You grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, transmit (including to the third-party model provider you select) and otherwise process your Inputs solely to the extent necessary to provide, secure and maintain the Services, and to comply with law. This license ends when you delete the relevant content or your account, except for copies that must be retained under applicable law as described in our Privacy Policy. We do not use your Inputs or Outputs to train AI models.
3.3 Generated Content. Subject to these Terms, you retain ownership of and are granted full rights to use, modify, distribute, and commercialize the AI-generated content you receive from our Services ("Outputs"). This includes the right to reproduce and share the content commercially, publish or incorporate it into derivative works, and use it without attribution to Vidline Inc., unless otherwise agreed. We do not claim ownership over content generated by our Services based solely on your inputs. Because Outputs are generated by AI, they may not be unique: other users may receive the same or similar Outputs, and we cannot guarantee that Outputs are eligible for copyright or other intellectual-property protection, or that they do not resemble existing works. Your rights in Outputs are also subject to any restrictions in the usage policies of the model provider that generated them.
3.4 Feedback. By submitting feedback or suggestions, you grant us a perpetual, royalty-free license to use that feedback for any purpose without compensation, provided that we will not identify you as the source without your consent.
You represent that you have the legal right to use any Input you submit to the Services, and you are responsible for ensuring that your use of Outputs complies with applicable law and does not violate the rights of others. You agree not to:
Your use must also comply with the usage policies of the model provider whose model you select; we may be required to enforce those policies. We may use automated tools to detect violations, and we may remove content or restrict accounts in accordance with Section 10.
5.1 Fees. If you purchase a subscription or any paid features, you agree to provide accurate payment information and authorize us (through our payment processors, Stripe and Antom) to charge your payment method according to the plan you select. Prices are shown before you purchase and exclude any taxes that we are required to collect, which will be added at checkout.
5.2 Automatic Renewal. Subscriptions renew automatically at the end of each billing period (monthly or annual, as selected) at the then-current price for your plan, until you cancel. We will charge your payment method at the start of each renewal period. We will send you a reminder at least 7 days before each renewal, by e-mail, SMS or in-app notification depending on the contact details associated with your account. If a payment fails, we may retry it and may suspend paid features until payment is received.
5.3 Cancellation. You can cancel your subscription at any time at sider.ai/my?tab=billing. Cancellation takes effect at the end of the current billing period; you keep access to paid features until then, and you will not be charged again.
5.4 Price Changes. We may change the prices offered for new purchases at any time without notice. The price of a subscription you have already purchased will not change for as long as that subscription remains active and is renewed without interruption. If we ever need to change the price of an existing subscription, we will notify you at least 30 days before the change takes effect and you may cancel before then.
5.5 Refunds. Except as set out in this Section or required by applicable law, fees are non-refundable and there are no refunds or credits for partially used periods. We will refund (a) duplicate or erroneous charges; and (b) if we discontinue the Services or your paid plan as a whole during a prepaid period for reasons other than your breach, a pro-rata amount for the unused portion.
5.6 Consumers in the EEA and UK — Right of Withdrawal. If you are a consumer in the EEA or the UK, you have the right to withdraw from a purchase within 14 days without giving a reason. By purchasing, you request that we begin providing the Services immediately during the withdrawal period and acknowledge that, if you withdraw, you will pay a proportionate amount for the service provided up to the time you inform us, and we will refund the remainder. To withdraw, e-mail [email protected] within 14 days of purchase stating that you wish to withdraw. This right applies to the first purchase of a subscription, not to each renewal.
5.7 Chargebacks. If you believe a charge is incorrect, please contact us at [email protected] first so that we can resolve it. If you initiate a chargeback for a charge that was valid, we may suspend your paid features until the matter is resolved.
Content generated by the Services is for informational purposes only and is not a substitute for professional advice (including legal, medical, financial or tax advice). AI models can produce output that is inaccurate, incomplete, outdated, biased or that appears plausible but is wrong. You are solely responsible for verifying the accuracy and appropriateness of any output before relying on it, and you should not use Outputs as the sole basis for decisions that could affect your health, finances, legal position or safety.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES AND OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," AND WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY AND UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT WARRANT THAT OUTPUTS WILL BE ACCURATE, RELIABLE OR SUITABLE FOR YOUR PURPOSES, OR THAT THE SERVICES WILL BE AVAILABLE AT ANY PARTICULAR TIME. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you. If you are a consumer in the EEA or the UK, you have statutory rights that digital services be as described, fit for purpose and provided with reasonable care and skill; nothing in this Section limits those rights.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW: (A) VIDLINE INC. AND ITS OFFICERS, EMPLOYEES AND SUPPLIERS ARE NOT RESPONSIBLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE LOSS, OR FOR LOST PROFITS, REVENUE, DATA OR GOODWILL, RELATING TO THE SERVICES OR OUTPUTS; AND (B) OUR TOTAL RESPONSIBILITY TO YOU FOR ANY MATTER RELATING TO THE SERVICES OR THESE TERMS IS LIMITED TO THE GREATER OF THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE MATTER AROSE OR US$100.
These limits apply only to the extent permitted by the law of your country of residence; they do not apply where the law does not allow them (for example, to death or personal injury caused by our negligence, fraud, or willful misconduct).
7.1 Indemnification. If you are not a consumer, you will defend Vidline Inc. against, and compensate us for, any demand or legal action brought by a third party, and related costs and reasonable attorneys' fees, arising from your Inputs, your use of Outputs, or your breach of Section 4, except to the extent caused by our own breach of these Terms or our negligence. If you are a consumer, you are responsible under applicable law for damage you cause to us by your unlawful use of the Services.
We respect intellectual-property rights and respond to notices of alleged infringement and of illegal content. If you believe content available through the Services infringes your copyright or is otherwise illegal, send a notice to [email protected] including: (a) identification of the work or right claimed to be infringed; (b) the location of the material (e.g., a URL or share link); (c) your contact details; (d) a statement that you have a good-faith belief that the use is not authorized; (e) a statement, under penalty of perjury where applicable, that the information is accurate and that you are the rights holder or authorized to act for them; and (f) your signature. We will review notices without undue delay, remove or disable access to content where appropriate, inform the user who provided it, and may terminate repeat infringers. Users whose content is removed may submit a counter-notice to the same address.
The Services depend on third-party model providers, payment processors and platforms. We are not responsible for the availability, accuracy or policies of third-party services, and your use of them may be subject to their terms.
If you download our app from the Apple App Store or Google Play, these Terms are between you and Vidline Inc. only, not with Apple or Google. Apple and Google are not responsible for the app or its content, have no obligation to provide maintenance or support, and are not responsible for addressing any claims relating to the app, including product-liability, consumer-protection or intellectual-property claims. Apple and its subsidiaries are third-party beneficiaries of these Terms with respect to the iOS app and may enforce them against you. You represent that you are not located in a country subject to a U.S. Government embargo and are not on any U.S. Government list of prohibited or restricted parties.
10.1 By You. You may stop using the Services at any time. If you do not have an active subscription, you can delete your account yourself at sider.ai/my. If you have an active subscription, the account page will direct you to contact us at [email protected], and we will cancel the subscription and delete the account for you. Deletion of your account results in deletion of your data as described in our Privacy Policy.
10.2 By Us for Cause. We may suspend or terminate your access to the Services, or remove content, if you materially breach these Terms (including Section 4), if we are required to do so by law or by a model provider's enforceable policy, if your account is used for fraud or poses a security risk, or if you fail to pay fees when due. Where practicable we will notify you and give you an opportunity to remedy a breach that can be remedied. The notice and review process in Section 12 of our Privacy Policy applies.
10.3 By Us for Convenience. We may also terminate these Terms or discontinue the Services (in whole or for your region) for other reasons on at least 30 days' notice by e-mail or in-product notice. In that case we will refund any prepaid fees for the period after termination.
10.4 Effect. On termination your license to use the Services ends. Sections 3.2 (as to retained copies), 3.3, 3.4, 6, 7, 11 and 12 survive termination. Where your account is terminated for cause, you are not entitled to a refund except as required by law.
We may update these Terms from time to time. The latest version will always be posted on our website with its effective date. For material changes, we will notify you at least 30 days before they take effect by e-mail or an in-product notice, unless a shorter period is required to comply with law or address a security risk. If you do not agree to a change, you may cancel your subscription and stop using the Services before it takes effect; if you cancel for this reason during a prepaid period, we will refund the unused portion. Changes do not apply retroactively.
12.1 Informal Resolution. If you have a dispute with us, please contact [email protected] first; most concerns can be resolved quickly and informally. We will try to respond within 30 days.
12.2 Governing Law. These Terms are governed by the laws of the Commonwealth of Massachusetts, USA, without regard to its conflict-of-laws rules, and the U.S. Federal Arbitration Act does not apply. If you are a consumer residing in the EEA, the UK or another country whose laws give you mandatory protections, you also benefit from those protections, and nothing in this Section deprives you of them.
12.3 Courts. Any dispute that cannot be resolved informally will be brought in the state or federal courts located in Massachusetts, and you and we consent to their jurisdiction, except that (a) either party may bring an individual claim in small-claims court where it qualifies, and (b) if you are a consumer in the EEA or the UK, you may bring proceedings in the courts of your country of residence, and we may bring proceedings against you only in those courts.
12.4 Alternative Dispute Resolution (EU/UK). We are not obliged and do not commit to participate in dispute-resolution proceedings before a consumer arbitration body. If you are a consumer in the EU, you may still contact the consumer protection authority or consumer organisation in your country.
12.5 Time Limit (non-consumers). If you are not a consumer, any legal action relating to the Services must be started within one year after the matter arises.
Entire Agreement. These Terms, together with the Privacy Policy and any plan-specific terms shown at purchase, are the entire agreement between you and us regarding the Services.
Severability. If any provision is held unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions remain in effect.
Waiver. Our failure to enforce a provision is not a waiver of our right to do so later.
Assignment. You may not assign these Terms without our consent. We may assign them to a successor in connection with a merger, acquisition or sale of assets, subject to Section 5.4 of the Privacy Policy.
Force Majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control, including outages of third-party model providers; this does not affect your right to a refund under Section 5.5 or 10.3.
Export Controls. You must comply with U.S. and other applicable export-control and sanctions laws and may not use the Services if you are located in, or are a national or resident of, a country or region subject to comprehensive U.S. sanctions, or are a person on a U.S. restricted-party list.
No Third-Party Beneficiaries. Except as stated in Section 9, these Terms do not create rights for third parties.
Language. These Terms are written in English. Translations are provided for convenience; in case of conflict, the English version prevails, except where the law of your country of residence requires otherwise.
